IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE ARBITRATION AND CLASS ACTION WAIVER SECTION BELOW

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the Aide-Moi mobile application (the “Service”) operated by C2Business. (“us”, “we”, or “our”).

Your access to and use of the Application is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Application. By accessing or using the Application, you agree to be bound by these Terms.

Any new features or tools which are added to the current Application shall also be subject to the Terms and Conditions. You can review the most current version of the Terms and Conditions at any time on this page. We reserve the right to update, change or replace any part of these Terms and Conditions by posting updates and/or changes to our Platform. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AND ABIDE BY ITS TERMS, YOU MAY NOT USE OR ACCESS THE AIDE-MOI PLATFORM.

These Terms of Use Agreement constitute a legally binding agreement between you and C2Business governing your use of the Aide-Moi Platform.

If you are a service member, you understand and authorize C2Business to use your information to obtain background checks and business credit checks from its vendors throughout the use of the service.

All references to “you” or “your,” as applicable, mean the person who accesses, uses, and/or participates in the Platform in any manner, and each of your heirs, assigns, and successors. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed an acceptance by that entity, and “you” and “your” herein shall refer to that entity, its directors, officers, employees, and agents.

Your use of the Aide-Moi Platform in a specific country constitutes your acceptance of and agreement to all of the legal terms and conditions for that country.

  1. USER AND PLATFORM DESCRIPTION

The Aide-Moi Platform is a mobile application that enables connections between Clients and Service Providers. “Client” are individuals and/or businesses seeking to obtain short-term services (“Services”) from Service Providers and are therefore Client of Service Providers, and “Service Providers” are businesses or individuals seeking to perform Services for Clients. Clients and Service Providers together are hereinafter referred to as “Users.” If you agree on the terms and conditions with another User, you and such other User form a Service Agreement directly between the two of you.

  1. SERVICE PROVIDERS ARE INDEPENDENT BUSINESS OWNERS. SERVICE PROVIDERS ARE INDEPENDENT CONTRACTORS OF CLIENTS AND NOT EMPLOYEES, PARTNERS, REPRESENTATIVES, AGENTS, JOINT VENTURERS, INDEPENDENT CONTRACTORS OR PART-TIMERS OF C2BUSINESS. BY CONNECTING PEOPLE AND BUSINESSES SEEKING SERVICES WITH SERVICE PROVIDERS, AIDE-MOI OPERATES AS AN ONLINE MARKETPLACE THAT CONNECTS CLIENTS WITH SERVICE PROVIDERS WHO WISH TO PERFORM A VARIETY OF SERVICES.
  2. USERS HEREBY ACKNOWLEDGE THAT C2BUSINESS DOES NOT SUPERVISE, SCOPE, DIRECT, CONTROL OR MONITOR A SERVICE PROVIDER WORK AND EXPRESSLY DISCLAIMS (TO THE EXTENT PERMITTED BY LAW) ANY RESPONSIBILITY AND LIABILITY FOR THE WORK PERFORMED AND THE SERVICES IN ANY MANNER, INCLUDING BUT NOT LIMITED TO A WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, WARRANTY OR CONDITION OF QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY LAW.

The Aide-Moi Platform enables connections between Users for the fulfillment of Services. C2Business is not responsible for the performance or communications of Users, nor have control over the quality, timing, legality, failure to provide, or any other aspect whatsoever of Services, Service Providers, or Clients, nor of the integrity, responsibility, competence, qualifications, or any of the actions or omissions whatsoever of any Users, or of any ratings or reviews provided by Users with respect to each other. C2Business makes no warranties or representations about the suitability, reliability, timeliness, or accuracy of the Services requested or services provided by, or the communications of or between, Users identified through the Aide-Moi Platform, whether in public or private, via on- or off-line interactions, or otherwise howsoever.

  1. USER BACKGROUND CHECKS 

Users may be subject to a review process before they can register for and during their use of the Aide-Moi Platform, which may include but is not limited to: identity verification, right to work checks, and criminal background checks. Although C2Business may perform Background Checks, C2Business cannot confirm that each User is who they claim to be, and C2Business cannot and does not assume any responsibility for the accuracy or reliability of Background Check information.

When interacting with other Users, you should exercise caution and common sense to protect your personal safety, data, and property, just as you would when interacting with other persons whom you don’t know. C2Business will not be liable for any false or misleading statements made by Users of the Aide-Moi Platform.

  1. USER REPRESENTATIONS 

All Users represent and warrant that:

  • You are at least of the legally required age to work in the jurisdiction in which you reside (generally, 18 years old or older);
  • You have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement, and that you will so abide;
  • You have read, understand, and agree to be bound by these Terms and Condition;
  • You will respect the privacy (including without limitation private, family and home life), property, and data protection rights of Users and will not record (whether video or audio or otherwise) any Service or any interaction by or with any User and/or C2Business in connection with the Aide-Moi Platform without the prior written consent of C2Business and/or the relevant User, as applicable;
  • You will fulfill the commitments you make to other Users, communicate clearly and promptly through the chat thread, be present and/or available at the time you agree upon with your Service Provider or Client as the case may be, and only utilize the third party payment service provider specified or approved by C2Business to make or receive payment for services provided through the Aide-Moi Platform;
  • You will act professionally and responsibly in your interactions with other Users;
  • You will use your real name or business name and an up-to-date photo on your profile;
  • When using or accessing the Aide-Moi Platform, you will act in accordance with all applicable local or international law or custom and in good faith;
  • You will not use the Aide-Moi Platform for the purchase or delivery of any controlled or illegal substances or services.
  • Where you enter into this Agreement on behalf of a company or other organization, you represent and warrant that you have authority to act on behalf of that entity and to bind that entity to this Agreement.

Service Providers additionally represent and warrant that:

  • If the Service to be performed requires you to have a business license or business tax registration, you must have the required business license or business tax registration before offering the Service;
  • You are responsible for identifying and obtaining any required licenses, permits, or registrations before offering services and undertaking Services.
  • You have any and all insurance required to operate your business and provide your services;
  • You will honor your commitments to other Users on the Platform, including by responding to invitations promptly; performing the Service(s) as agreed upon with your Client; and providing timely, high-quality services to your Clients;
  • You will only offer and provide services for which you have the necessary skills and expertise, and provide those services safely and in accordance with all applicable laws.
  1. BILLING AND PAYMENT

Users of the Aide-Moi Platform contract for Client directly with other Users. C2Business will not be a party to any contracts for any services. Payment for services through the Aide-Moi Platform is made directly from the Client to the Service Provider. C2Business is not obligated to compensate Service Provider for Client’s failure to pay for services.

The Service Payment in the Service Provider local currency and must be paid directly by the Client to the Service Provider, once the service is done.

The platform fee is in the user local currency and must be paid through the Platform using Google Store or Apple Store.

  1. MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

  1. UPDATES AND UPGRADES

By installing the App you consent to the installation of the App and any updates or upgrades that are released through the Aide-Moi Platform. The App (including any updates or upgrades) may

  1. Cause your device to automatically communicate with Aide-Moi servers to deliver the App functionality and to record usage metrics,
  2. Affect App-related preferences or data stored on your device, and (iii) collect personal information. You can uninstall the App at any time.
  1. AIDE-MOI ACCOUNTS

To access and participate in the Platform features, you will need to create a password-protected account (“Account”). You may register for an Account using certain third-party account and log-in credentials (your “Third-Party Site Password”), such as your Facebook or Google credentials. You agree to provide accurate, current, and complete information during the registration or request submission process and at all other times when you use the Platform, and to update information to keep it accurate, current, and complete.

Providing fake, wrong or inaccurate information constitute a breach of the Terms, which may result in immediate termination of your account on the Aide-Moi Platform

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

  1. LIMITATION OF LIABILITY

In no event shall C2Business nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

  1. Your access to or use of or inability to access or use the Service;
  2. Any conduct or content of any third party on the Service;
  3. Any content obtained from the Service; and
  4. Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
  1. GENERAL CONDITION AND CONTENT

Aide-Moi App allows to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the App, including its legality, reliability, and appropriateness.

By posting Content to the App, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the App. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.

You represent and warrant that:

  1. The Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and
  2. The posting of your Content on or through the App does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

We reserve the right to refuse service to anyone for any reason at any time.

  1. LINKS TO THIRD-PARTY WEB SITES

Our Service may contain links to third-party web sites or services that are not owned or controlled by C2Business.

C2Business has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that C2Business shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

  1. DISPUTE RESOLUTION

C2Business values Users, and understand that occasionally disputes may arise between or among them. Our goal is to provide tools to help users resolve such disputes independently. In the rare event a dispute regarding an interaction related to the Platform cannot be resolved independently, you agree, at C2Business’ request, to participate in good faith, to the extent you are reasonably able to do so, in a neutral resolution or mediation conducted by C2Business or a neutral third-party mediator or arbitrator selected by C2Business. Notwithstanding the foregoing, you acknowledge and agree that C2Business is under no obligation to become involved in or impose resolution in any dispute between or among users or any third party.

  1. GOVERNING LAW

These Terms shall be governed and construed in accordance with the international laws. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the App.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our platform. It is your responsibility to check our platform periodically for changes. Your continued use of or access to our platform or the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
